REPORT ON THE SPECIAL GENERAL MEETING HELD ON 14 OCTOBER 2019

Posted on the 16th October 2019

A Special General Meeting (SGM) of BirdLife Overberg members was held at 18h00 on Monday 14 October at the Mollergren Community Hall, Hermanus. Notices of the meeting stating the Committee’s intent to amend the club’s Constitution were forwarded to all members. The objective of these changes was to adjust the Constitution in line with the Directorate for Non-profit Organisations’ latest requirements. The proposed changes were described and circulated to members.

These changes were needed in view of the club registering as a NPO and PBO and we needed a 2/3rds (66%) majority of members to approve the amendments to the constitution. The committee decided that only main members will vote as there are several minors registered as family members. We currently have 106 main members and would therefore require 71 supportive votes from them in order to pass the resolution to amend the constitution. These votes could either be done by a simple show of hands at the Special General Meeting or by proxy for which forms were circulated to members.

We hereby provide a summary of the outcomes of the SGM:

The members present then socialised and waited in anticipation of the arrival of the guest speaker for the monthly talk. This unfortunately did not happen and we include a letter of apology in this regard below. Anton then presented “The Brag Session on the Endemic Birds of South Africa”, a new talk developed for the Flight Higher course for intermediate and more experienced birders. Our appreciation goes to Colleen and Wilmine, who catered on the evening.

LETTER OF APOLOGY FROM DR ALISTAIR McINNES
Dear Anton and Elaine
My sincere apologies for the error on my part with regards to the date of the talk last night - I had entered this in for tonight and we coordinated our strategy workshop in Bettys Bay to coincide with this. Please send my apologies to all the members that attended last night and I am very sorry that I couldn't do the talk which I was really looking forward to. I need to make this up to you and the members so please let me know when it would be suitable to come through and do the talk.
Sincerely
Alistair
